Terms of Service

1. Who these terms are with

These terms are between your business and Keystone Strategic Ltd, a company registered in England and Wales under company number 17047166. Our registered office is 8 Snowdrop Gardens, Whittlesey, Peterborough, England, PE7 2GX and our trading address is 4 Benwick Road, Whittlesey, PE7 2HD.

ScaffoldOS and CoreOS are business software services. By creating a workspace, you confirm that you are acting for a business and have authority to accept these terms for it. Nothing in these terms removes rights that cannot legally be excluded.

2. The services

Keystone provides access to the product, modules and user allowance shown when you sign up. ScaffoldOS trial access includes CRM, Estimating, Commercial and invoicing, Project Hub, Compliance documents, Stock control, Jobs, Vehicles and Reports. Sign in/out and Inspections are separate paid add-ons and are not part of the trial.

CoreOS trial access includes CRM, Quoting, Commercial and invoicing, Project Hub and Compliance documents. CoreOS does not include Sign in/out or Inspections.

3. Packages and prices

CoreOS, 6-15 users£95.99 per month

These are the full monthly prices. Keystone is not currently VAT registered, so no VAT is added. Packages for 16 or more users are priced by quotation and are not activated as an automatic paid subscription through the trial checkout.

A 1-5 user package includes one administrator, one manager and three users. A 6-15 user package includes one administrator, two managers, two staff accounts and ten users. Add-ons, bespoke work and services outside the selected package require a separate written quotation or agreement.

4. Free trial and recurring subscription

The 14-day trial begins only after you confirm your email, add a valid card through Square and select the button that starts the trial and authorises the subscription. Nothing is charged when the trial starts. The checkout shows the trial end date, first billing date and monthly price before you confirm.

Unless you cancel before the first billing date, Square will charge the selected monthly price to the stored card on that date. The subscription then renews monthly until cancelled. Your confirmation email records the product, package, price and billing date you accepted.

5. Cancelling

You may cancel during the trial or later by emailing mike@keystonestrategic.co.uk. Include your company, workspace and account email. A cancellation received before the first billing date prevents the first payment. If a timely request is processed after Square has collected that payment, we will refund it.

After a paid month has started, cancellation normally takes effect at the end of that paid period. We do not normally refund part-used months, except where required by law or agreed because the service was materially unavailable. See our cancellation page for the simple process.

6. Your account and acceptable use

You are responsible for accurate signup information, keeping passwords secure, controlling users invited to your workspace and promptly telling us about suspected unauthorised access. You must not misuse the service, attempt to bypass access controls, introduce harmful code, interfere with other customers or use the service unlawfully.

7. Your data and our software

Your business retains ownership of information it enters into the service. You give Keystone the permission needed to host, process, back up and display that information to provide and support your workspace. Keystone retains ownership of the software, design, documentation and improvements, excluding your business data.

8. Availability, support and changes

We aim to provide a reliable service but do not promise uninterrupted availability. Maintenance, supplier outages, security work and events outside our reasonable control may affect access. We may improve or change features provided that the core purpose of the paid service is not materially reduced without reasonable notice.

9. Suspension and termination

We may suspend access where payment is overdue, use creates a security or legal risk, or these terms are seriously breached. Where practical, we will explain the issue and allow a reasonable opportunity to correct it. On termination, access ends and amounts already due remain payable.

10. Liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or anything else that cannot legally be excluded. Subject to that, Keystone is not liable for indirect or consequential loss, loss of profit, revenue, anticipated savings or business opportunity. Our total liability arising from the service is limited to the subscription fees paid or payable in the 12 months before the event giving rise to the claim.

11. General

If part of these terms is unenforceable, the rest remains effective. A delay in enforcing a right does not waive it. These terms, the selected package and any written add-on agreement form the agreement for the service. English law applies and the courts of England and Wales have jurisdiction.
